Welcome to JR Stone Elite and JRPartners ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, services, and all related construction, fabrication, installation, design, and consultation services provided by our six specialized divisions operating in Ontario, Canada.
By engaging our services or accessing our website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services or website.
For the purposes of these Terms:
All Services must be formalized through a written contract signed by both parties. Estimates, quotes, proposals, and consultations provided through our website, email, phone, or in-person are non-binding until a formal written contract is executed.
Each contract will clearly define the scope of work, materials to be provided, timeline, payment terms, and any specific warranties or guarantees. Any changes to the scope of work must be documented through a written change order and may affect pricing and timelines.
All estimates are valid for 30 days from the date of issue unless otherwise specified. Prices are subject to change based on material availability, market conditions, and project specifications. Final pricing will be confirmed in the executed contract.
Natural stone, wood, and other materials vary in color, pattern, texture, and characteristics. Samples, photographs, and digital renderings are representative only and may not perfectly match the final installed product. We are not liable for natural variations inherent to the materials.
Material availability is subject to change. If specified materials become unavailable, we will work with you to select suitable alternatives. The Client must approve any material substitutions before proceeding.
Clients are responsible for inspecting and approving materials before fabrication or installation. Once fabrication begins or materials are installed, we cannot accept returns or exchanges except in cases of manufacturer defects or our workmanship errors.
Natural stone is a product of nature and will contain variations, fissures, pits, and color inconsistencies that are considered normal and acceptable. Engineered stone products may also exhibit minor variations in pattern and color. These characteristics do not constitute defects.
The Client is responsible for ensuring the installation site is properly prepared, accessible, and compliant with all applicable building codes. This includes but is not limited to: adequate structural support, proper electrical and plumbing rough-ins, clear access routes, and removal of existing fixtures or materials unless otherwise specified in the contract.
The Client must provide safe, unobstructed access to work areas during scheduled installation times. Delays caused by inadequate access, site conditions, or Client-related issues may result in rescheduling fees and timeline adjustments.
We are not responsible for pre-existing conditions including but not limited to: structural deficiencies, asbestos, mold, inadequate foundations, water damage, code violations, or hidden conditions discovered during installation. Additional charges will apply for remedial work required to address such conditions.
Unless specifically included in the contract, obtaining necessary building permits, approvals, and inspections is the Client's responsibility. We will cooperate with inspections and provide required documentation.
We warrant that our workmanship will be performed in a professional manner consistent with industry standards. Specific warranty terms, including duration and coverage, will be detailed in each project contract.
Materials are covered by manufacturer warranties. We will assist in facilitating warranty claims but are not responsible for manufacturer defects or warranty limitations. Manufacturer warranty terms vary by product.
Warranties do not cover: normal wear and tear; damage from misuse, abuse, or improper maintenance; modifications by others; damage from settling, structural movement, or acts of nature; damage from improper cleaning products or methods; or failure to follow care and maintenance instructions.
Natural stone characteristics including veining, color variations, fissures, pits, and porosity are not defects and are not covered under warranty. Stone is a natural product and will age and patina over time.
Warranty coverage is conditional upon proper maintenance. Stone surfaces must be properly sealed as recommended. Cabinetry and wood products require appropriate care. Failure to maintain products according to provided instructions may void warranty coverage.
Payment terms will be specified in each contract. Typical terms include: deposit upon contract execution, progress payments at specified milestones, and final payment upon completion. We reserve the right to suspend work if payments are not received as scheduled.
Deposits are generally non-refundable once materials have been ordered or fabrication has begun. Deposit amounts and refund conditions will be specified in the contract.
Late payments may incur interest charges at a rate of 2% per month (26.82% annually) or the maximum rate permitted by law, whichever is less. We reserve the right to place liens on property for unpaid amounts as permitted under the Ontario Construction Act.
Prices may be adjusted for changes in scope, unforeseen conditions, material price increases, or Client-requested modifications. All adjustments require written approval through change orders.
Estimated timelines are provided in good faith but are not guaranteed. Timelines depend on material availability, site conditions, weather, permit approvals, and coordination with other trades.
We are not liable for delays caused by: material availability, manufacturer delays, weather conditions, acts of God, labor disputes, permit delays, Client-caused delays, site access issues, changes in scope, or other circumstances beyond our reasonable control.
Installation dates are scheduled in good faith but may require rescheduling based on project conditions. We will provide reasonable notice of schedule changes when possible.
Client may cancel a contract with written notice. Cancellation fees will apply to cover costs incurred including: materials ordered, fabrication completed, design work, site visits, and administrative costs. Specific cancellation terms will be detailed in each contract.
All changes to the contract scope must be documented through written change orders signed by both parties. Change orders may affect pricing, timelines, and other contract terms.
We reserve the right to cancel or refuse service for: non-payment, unsafe site conditions, Client interference with work, breach of contract terms, or other reasonable cause. In such cases, Client will be charged for work completed and costs incurred.
To the maximum extent permitted by Ontario and Canadian law, our total liability for any claim arising from Services provided shall not exceed the total amount paid by Client for the specific project giving rise to the claim.
We shall not be liable for indirect, incidental, special, consequential, or punitive damages including but not limited to: loss of use, loss of profits, business interruption, temporary housing costs, or other economic losses.
We carry appropriate liability insurance for our operations. We will repair damage directly caused by our negligence, but are not responsible for: pre-existing conditions, damage from normal construction processes, settling or movement of structures, or damage caused by Client or third parties.
We are not liable for work performed by third-party contractors, manufacturers, or service providers not under our direct control.
We maintain commercial general liability insurance and workplace safety insurance (WSIB) as required by Ontario law. Proof of insurance is available upon request.
Client is responsible for maintaining adequate property insurance and should notify their insurer of construction work being performed. We recommend clients maintain builder's risk insurance during projects.
Client agrees to indemnify and hold harmless JR Stone Elite, its officers, employees, and agents from claims arising from: Client-provided materials or specifications, site conditions not disclosed to us, Client interference with work, or Client breach of contract terms.
All work will be performed in compliance with applicable Ontario Building Code requirements and local municipal bylaws. Client is responsible for disclosing any special zoning, heritage, or regulatory requirements affecting the property.
Our contracts comply with the Ontario Construction Act. We will provide required notices, maintain proper holdback provisions, and may register liens for non-payment as permitted by law.
We comply with Ontario Occupational Health and Safety Act requirements. Our workers are covered by WSIB. Client must ensure their property does not contain undisclosed hazards including asbestos, lead paint, or other dangerous materials.
We comply with applicable environmental regulations for material handling, waste disposal, and site protection. Additional charges may apply for specialized waste disposal or environmental remediation.
We collect, use, and protect personal information in compliance with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA). Our Privacy Policy details how we handle personal information.
We collect personal information necessary to provide Services including: contact information, property details, payment information, and project preferences. This information is used solely for providing Services and will not be shared with third parties except as necessary to complete projects or as required by law.
We may contact clients regarding their projects, service reminders, and promotional offers. Clients may opt out of marketing communications at any time.
Custom designs, drawings, renderings, and plans created by us remain our intellectual property unless otherwise agreed in writing. Client receives a limited license to use designs for the specific contracted project only.
We reserve the right to photograph completed projects and use images for marketing, portfolio, and promotional purposes unless Client objects in writing. Client details will not be disclosed without permission.
All content on our website including text, images, logos, videos, and designs are protected by copyright and trademark laws. Unauthorized use is prohibited.
In the event of any dispute, both parties agree to first attempt resolution through good faith negotiation.
If negotiation fails, parties agree to attempt mediation before pursuing litigation. Mediation costs will be shared equally unless otherwise agreed.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any legal action must be brought in the courts of Ontario, and both parties consent to the jurisdiction of such courts.
For commercial clients, disputes may be resolved through binding arbitration in accordance with the Arbitration Act (Ontario) if both parties agree in writing.
Custom stone fabrication involves templating, cutting, edge profiling, and installation of natural and engineered stone. Templates must be approved before fabrication begins. Once cutting begins, changes cannot be accommodated. Stone slabs are sold as-is with natural variations.
Custom cabinetry is built to approved specifications and designs. Changes after production begins will incur significant charges. Wood is a natural material subject to expansion, contraction, and color variation over time. Proper climate control in the installation space is Client's responsibility.
Window and door installations must comply with Ontario Building Code and energy efficiency standards. Existing structural conditions may require additional work. We are not responsible for pre-existing water damage, rot, or structural deficiencies discovered during installation.
Design services include consultation, space planning, 3D visualization, and project coordination. Design concepts remain our property unless otherwise agreed. Client is responsible for approving all designs before implementation.
Electrical and communications cabling services must comply with Ontario Electrical Safety Code and applicable standards. All work is performed by licensed electricians. Pre-existing wiring conditions may require remediation at additional cost.
Stone slabs and tiles sold retail are sold as-is with no fabrication services unless separately contracted. Clients are responsible for arranging transportation or may use our delivery service for additional fees. Returns are not accepted once materials leave our facility.
We maintain safe work practices in compliance with Ontario health and safety regulations. Client must keep family members and pets away from work areas. Construction sites contain hazards.
Construction work generates dust, debris, and noise. We use dust containment measures where practical, but some dust migration is unavoidable. Client should protect or remove sensitive items from work areas.
Client must disclose presence of any hazardous materials including asbestos, lead paint, mold, or contaminated soils. If discovered during work, operations will stop until proper remediation is performed by qualified specialists at Client's expense.
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control including: acts of God, natural disasters, fire, flood, pandemic, epidemic, government orders, labor disputes, material shortages, supply chain disruptions, or other force majeure events. Timelines will be extended for the duration of such events.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
These Terms, together with any executed project contracts, constitute the entire agreement between parties and supersede all prior negotiations, representations, or agreements. No modification is valid unless in writing and signed by both parties.
Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. All rights and remedies are cumulative.
Client may not assign their rights or obligations under any contract without our written consent. We may assign contracts to affiliated entities within the JR Stone Elite corporate group.
Provisions regarding warranties, liability limitations, indemnification, intellectual property, and dispute resolution survive termination or completion of any contract.
We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated "Last Updated" date. Continued use of our Services after changes constitutes acceptance of modified Terms. Contracts already executed will remain subject to the Terms in effect at the time of signing.
